These Terms of Service ("Terms") govern your use of RAPIDSTAMPS, a digital loyalty stamp-card platform operated by Ideasbench Limited, NZBN 9429053627407 ("we", "us", "our"), a company registered in New Zealand. RAPIDSTAMPS provides businesses with a branded digital loyalty card, a staff scanner, an admin portal, and aggregate analytics.

By signing up for a RAPIDSTAMPS account, you ("you", "the Business") agree to these Terms. If you do not agree, do not use the service.

1. Who these terms apply to

These Terms apply to the business that holds the RAPIDSTAMPS account and the people who sign in to manage it. They do not create any agreement with your customers. Your customers use a branded card on their phone without creating a conventional account, and they are not party to these Terms.

2. Business use only

RAPIDSTAMPS is supplied for business use only. You acknowledge that you acquire and use the service in trade, for the purposes of your business, and that to the extent permitted by law the Consumer Guarantees Act 1993 does not apply.

3. Your account

You sign up by providing your business name, an email address, your country, and your industry. You are responsible for the accuracy of the information you provide and for keeping it current.

You are responsible for all activity under your account. You must keep sign-in credentials confidential and ensure each staff member uses their own login, since staff actions are attributed individually for accountability. You must tell us promptly if you believe an account has been compromised.

Accounts within your business (company administrators, branch administrators, and branch staff) are created and managed by you. We do not create staff accounts on your behalf.

4. Subscription and billing

Holding a RAPIDSTAMPS account is free. What you pay for is a live branch: a branch is subscribed to enable stamping and redemption at it. Current pricing is shown on our website and is quoted exclusive of GST, with GST added at the applicable rate. You may subscribe a branch monthly or annually.

Branches are billed by invoice. Invoices are issued on the 1st of each month and are payable by the 20th of that month. Where you sign up or add a branch part-way through a month, the remainder of that month is provided at no charge and your first invoice covers the following month. Annual subscriptions begin on the 1st of the following month. Invoices are issued in New Zealand dollars unless otherwise agreed.

Each branch is billed independently. Adding a branch is free; running it means subscribing that branch on its own. Subscriptions are not pro-rated: no adjustment is made for a branch subscribed or stopped part-way through a billing period.

If an invoice is not paid by the due date we may suspend the affected branch until payment is received. A suspended branch cannot record stamps or redemptions, as described in clause 5.

5. Cancellation, lapse and refunds

You may cancel a branch's subscription at any time by notifying us, or from your billing settings where available. Cancellation takes effect at the end of the period already invoiced. Cancelling, or letting a subscription lapse, does not close your account.

A cancelled or suspended branch stops recording stamps and redemptions. You keep access to your account and to that branch's aggregate history, and you can re-subscribe at any time to resume. Your other branches are unaffected. If no branch on your account is active, your customers' branded card can still be opened but no stamps can be collected or redeemed at any of your locations. Stamps your customers already hold are not erased and become collectable again when you re-subscribe.

Except where required by law, you are not entitled to a refund of payments already made, including the unused portion of an annual prepayment, and cancelling stops future invoices rather than refunding the period already invoiced. We may, at our discretion, issue a full or pro-rata refund in individual cases, generally within the first billing period; doing so in one case does not create any obligation to do so in another.

6. Suspension and termination by us

We may suspend or terminate your account if you breach these Terms, if an invoice is not paid by its due date, if we are required to by law, or if we reasonably believe your use of the service is unlawful, fraudulent, or harmful to others. Where practical we will give you notice, but some circumstances may require immediate action.

7. Your content and conduct

You are responsible for the loyalty offers, reward terms, business name, logo, icon, and any promotional text you configure. You warrant that you own or are licensed to use any logo or image you upload, that it does not infringe anyone's rights, and that your offers are lawful, honest, and comply with applicable advertising and fair-trading rules.

You agree not to upload material that is unlawful, infringing, offensive, or contains malicious code, and not to interfere with, probe, or attempt to circumvent the security of the platform.

8. The loyalty program is between you and your customers

You set and run your own loyalty offer. The reward, its conditions, and its fulfilment are your responsibility. Any dispute about a stamp, a reward, or its redemption is between you and your customer. We are not a party to your loyalty program and have no liability for it.

Physical security of your counter QR code is your responsibility to manage in-store. Stamping is a deliberate staff action confirmed on the scanner, but you are responsible for reasonable controls against misuse at your premises.

9. Analytics and customer data

RAPIDSTAMPS is designed so that no party, including you and us, holds personal information about your loyalty customers. The analytics we provide are aggregate counts and trends (such as stamps, redemptions, and busy hours) and per-staff activity totals for accountability. They are not individual customer profiles or visit histories, and the platform does not record when an individual customer did anything. You agree not to attempt to re-identify individual customers from aggregate data.

10. Partner offers (optional)

Partner offers are optional and off by default. If you opt in, you consent to us disclosing your business contact details to selected industry partners for marketing purposes. Partners are independent third parties, and any dealings between you and a partner are solely between you and them. We are not responsible for partner products, services, offers, or communications. You may withdraw consent at any time, which stops future sharing but does not recall details already shared. We never share your customers' information with anyone. 11. Availability

We make reasonable efforts to keep the service available but do not guarantee any specific uptime. The platform may be unavailable at times for maintenance, updates, or reasons outside our control. The customer card is designed to display its QR offline, but recording stamps and redemptions requires an internet connection.

12. Intellectual property

We own the RAPIDSTAMPS platform, software, and brand. We grant you a limited, non-exclusive, non-transferable right to use the service for your business while your subscription is active. You retain ownership of your own business name, logo, and content; you grant us the right to host, display, and process it as needed to provide the service.

13. Disclaimers and limitation of liability

The service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all warranties not expressly stated in these Terms, and we are not liable for indirect or consequential loss, or for loss of profits, revenue, data, or opportunity.

To the maximum extent permitted by law, our total liability arising from or connected with the service, on any basis, is limited to the amount you paid us for the service in the three months before the event giving rise to the claim.

14. Indemnity

You agree to indemnify us against claims, losses, and costs arising from your use of the service, your loyalty program, your content, or your breach of these Terms.

15. Changes to these terms

We may update these Terms from time to time. If any changes are made we will email you and update the version and date above. Continuing to use the service after a change takes effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the New Zealand courts. If any provision is held unenforceable, the rest remains in effect.
